    As someone that bombed that exam for the love of God take prep courses. I know the test is design to see how you think rather than what you know but that is one of my life biggest regrets.

    My thoughts exactly. What kind of lawyer does not include an arbitration clause, with an NDA, for a contract like this? Even if things does escalate with that in place, you make sure it doesn't automatically lead to a PR crisis, because the parties are bound to keep it out of the public's eye.

    Hopefully more IRL Vs paperwork this time compared to the take on Depp being fired/asked to leave Fantastic Beasts where there was publicly accessible blatant admission of repeated assaults from the person claiming to be the victim. Huge Campea fan, least favourite take of all time (that one). Maybe the Virginia case will pop up on here next year and be of even more interest cause it's not a UK Case where the judge said he was just gonna ignore the US police testimony cause he didn't like their note taking methods

    oh FFS - Chapek just needs to settle this out of court and stop making himself look even worse. If he has to resort to some random emotional argument that relies on covid, that means he doesn't actually have any grounds to argue that they did not breach contract. Chapek is actually tarnishing the Disney brand - I hope Disney's Board is watching.

    Everyone needs to consider the artist. It doesn’t matter than ScarJo made 20 mil so far. How much has Disney made off of BlackWidow? Toys, VoD, all licensing revenues, etc are all part of Disney’s profit model. I’m surprised how many people see that 20 mil number and think she made “enough”. Sure, it’s a lot of money, but why shouldn’t the multinational mega company have to honor their agreements with their talent or any business partner. There’s this alarming trend towards people putting blind faith in companies who if not for the contracts, and labor laws they’d shaft everyone they can. There’s a few lawyers channels on both sides of the argument so far, but this will be interesting to see how this shakes out.

    However, it said in her contract that the distributor has “sole discretion.” That is what it says. And if Disney has released it “no less than 1500 screens,” then they did their part. I’m just reading off from the language from the part of the contract her lawyers are showing. Now, if it goes to court, Johansson’s lawyers will ask for full disclosure to everything from Disney that’s relevant to her case. She should have amended it once Disney+ came into being before COVID19 happened to protect her investment into this movie.

    Disney also took action to impair SJ 's earning by undercutting the movie's theatrical run by luring movie goers to streaming service & having the movie subjected to piracy. They actively took actions to harm her.

    I'm amazed at Disney for dragging this out as long as they've done, and in the public eye no less. Scarjo's lawyers may have been the ones to put it in the public's eye, but only after talks with Disney have failed. Disney doesn't seem to have any legs to stand on, so why did they fail the talks? What do they have to gain from dragging this out and receiving more bad PR? What's their upside here as I don't see any.

    I'm always stunned at how many people rush to defend a multi billion dollar corporation in cases like this. I think it's because the layman sees it as an affront to the things they love - "NO! Not my precious Disney things! Leave Disney alone!" Meanwhile they're fleecing the talent and the consumers like modern gangsters, but people love it evidently. Families will spend $5-$10K on a Disney trip without even considering how grossly insane that is, but if it makes sense and they have fun I guess it's worth it.

    Thanks for explaining John, there was someone who asked about Covid breaking the contract because it was force-majure (force of nature). You countered that the contract can't ended like that and that "the person still has to mourn their cat" (the example you gave) is not a good reason. FORCE MAJURE can be a reason of ending a contract IF it is written into the contract. Since COVID is a new thing, no one has ever thought about ending a contract. Usually, its earthquakes, floods or war.

    I think the main reason for scarjo suing Disney is due to money. It's because of betrayal of trust on part of Disney. If they have communicated to her regarding the compensation and have negotiated some new terms . Disney gone behind her back .

    Disney+ payment might not be as much as from the theatrical release. As I said before they should have talk to her and made necessary adjustments. A contract is a legally binding document. If they have not altered it in any way then it is a breach of contract. She has done her part so Disney should honour that agreement.

    Well, Disney was stupid. Damage has already been done, not only to itself but to all studios. Then again, Warner sorta did it first. Now all talent knows about this. They wanted to be stingy and now there's a much more expensive price tag attached

    If it is true that Scarlett and her team are seeking a cut of the non-premium streaming money, then I can't blame Disney for refusing. If they pay her, every other actor will demand the same cutting into the Disney + revenue at a time they're seeking aggressive growth. John is coming across as extremely bias and refuses to see the big picture. I get the theatre industry is in peril, but try to have a open mind. The legal analysis is good, but he hasn't seen Scarlet's contract so he has no idea what's in it. It's amazing how many "get out clauses" exist. For example, if you own a business read your insurance policy. There are pandemic, nuclear war, riot/civil commotion, and government intervention exclusions. As far as character assassination, it cuts both ways. If my attorney doesn't make the other side appear to be a bad guy, well they aren't a good attorney.

Nobody knows what is in the actual contract other than the parties involved. I am certain the talent-studio (Sacrjo-Disney) contract is very thick and contains many contingency plans.

    It helps if we know the exact provisions in the actual contract. Hollywood notwithstanding, I'm sure it's in writing. But, in general, I agree - they'll settle before it goes to trial. Any idea how much of a cut of the gross B.O. receipts Scarjo and the studio would have agreed to?

    When govt shutdowns prevented Disney from having a theatrical release in 2020, that breaks the contract especially if there's a timeline involved. Disney did eventually give "Black Widow" theatrical wide release.

    John didn’t get into damages. If Black Widow was exclusively in the theaters, I think the movie would have still bombed. Scarjo reported wants $50 million. Is this based on a projected one billion dollar box office total? The movie could have made more but not much more. I think Scarjo’s expectations are out of line and the reason Disney didn’t settle with her.

    This will end with bigger upfront payments to actors and profit sharing not on the table anymore. Direct to streaming will definitely become a thing as well, and those directors and actors that aren't happy with that will need to build new careers. I honestly hope scarjo doesn't get a big payout, her movie would've tanked if Disney didn't do what they did.

    John Scarjo wishes it was that easy. The basis of your position is an "implied" condition. Im sure Disney has language in their contract that excludes implied provisions, and that all terms need to be specified. Further, they can argue "talent" is not at risk and their position is to utilize their asset in a way that maximizes its market value, both in direct cash return and increased value to the company, and in doing so, all parties, including Scarjo, gain value. Its clear as mud bro. Keep bringing the filthy. RIP Schnep.

    Furthermore, we don't know what is in the actual contract. Right now, we just know what Scarjo and her lawyers released to the public. In Disney's legal rebuttal, they could also release parts of the contract that could show they upheld their obligations. I am certain these kinds of contracts (talents who are paid in the millions) must be 50+ pages and probably covers lots of contingency plans. I had a contract to write and publish a single textbook and the contract with the publisher spanned 13 pages, which is much much smaller than a talent-studio contract.

    @@IandiBoats I agree. She may lose a lot of money to her legal defense. I have seen other lawyers, including one contract lawyer, on YT and elsewhere, and all of them said that she will lose if this goes to court or has a very steep hill ahead of her.

    Black Widow most likely will be a financial loss for Disney that they write as a tax write off due to unseen predictions of C19 speeding up the transaction of revenue going from theaters to now being streamlined platforms. Disney is finding out that maintainability of a streaming platform is very expensive and are trying to cut costs by of course short changing their employees. So this is gonna be a slow change in how contracts will change in the entertainment industry. So I’m interested in this story.

    So I 100% understand a contract and me being a landscaper and mowing lawns every week and would like to know who is gonna mow my lawns for 20 bucks with there own equipment and I only have to pay them 20 bucks cuz I could sit back and make a good amount of money for doing nothing im sorry John if you didn't find this funny

    Honestly even if she wins she loses. Actors aren’t going to like the precedent this sets. She’ll seem like David in the battle with Goliath now but in the long run she’ll be painted as the person who ended back end deals. They were probably going away anyway but that nuance will be lost.

    I still don't understand how any normal human being could have even a scintilla of sympathy for ScarJo here. She got paid $20 million for what was, at most, three months of work. That's more money than most people will ever see in ten lifetimes. Not saying that Disney is sympathetic or the good guy in this case, either. But it's bizarre to me that so many MCU fanatics are rushing to ScarJo's corner.

    @@johncampea Rob was saying that the movies average a billion dollars so if she would have been paid x amount if the movie made Y, say a billion dollars, doesn't she have to prove the film would have made a billion dollars during its release window during a time when theaters have reduced seating capacity and not that many people going? I wish her luck I really do but if I was on a jury I would be ask the judge about this.

    It's easy to just cast the big bad corporation as the villain, but honestly......nobody, outside of the parties involved, has actually read this contract. I think it's far too premature to just assume Disney broke the contract, fact is, we just don't know that. These legal documents have alot of language etc that make all the difference, just way too many unknowns right now.

    Black Widow isn’t Scarjo’s movie, Disney literally owns all distribution rights to the Black Widow character, Disney legally has the final say in any distribution of their movies.

    Nobody is saying they don’t, the problem that you’re ignoring is that they had a contract with Scarlett Johansson that said they were going to distribute it a certain way. They violated that contract. That is the only important issue at hand.

    @@johncampea The contract isn’t public though, we don’t know exactly what it states. If Disney did violate the contract by releasing simultaneously on Disney+ Scarjos entire case rests on that one specific technicality. I just don’t think it’s worth it for Scarjo take the 20 million and move on. It’s weird Disney finally gives her a solo film and she sues them a month after it’s released.

    Have you even been paying attention? This is not about whether Disney has a say in the distribution. This is about whether their decision violated a legally binding contract which made specific promises regarding the distribution of the project. Maybe try watching the entire video next time.

    @@johnjackson5620 dont need to see the contract to counter the initial point that Disney can distribute their film however they choose. Of course Disney can, but the point of the suit is whether Disney's decision to do a streaming release day and date of theatrical violated the contract. Whether it's worth it for ScarJo to pursue this is debatable for sure. Looking forward to seeing more details about the contract if it gets released

    @@johncampea But to be fair, none of us know whats in that contract, we are taking Team ScarJo's word for it. Disney very well might have violated the terms, not denying that, but we just don't know for certain without seeing the deal.

    Problem like most have said. If you do not have access to the contract. Then you are just guessing what is going on. Also, on a scale of 1 to 10. Johns knowledge is about a 2 when it comes to legal stuff. However, if the people watching this videos knowledge is 1. Then John is twice as knowledge about the subject than most of those viewing the video so he looks like a genius.

    I wonder if John is just biased against Chapek. If we put Chapek out of the picture and it is Iger or Feige, the commentary will be a lot nicer as far as Disney is concerned
