K-OG Looks into HIBE and ADOR FIASCO [] Stupidity and EVIL PLANS

Ойын-сауық

I have small experience with corporate laws and some background and have tried to explain as best as I could. To me, this was pretty simple. There are legal boundaries and corporate morality that should not be crossed. If available evidence is all real Min Heejin crossed it and some more. Should be going to jail if she actually did what was accused. Too much pride and too little business savvy.

It's like .. I want to take over my parents' house. I wrote down my plans in my diary that I bought with my pocket money given by my father. I hid my diary under my pillow in my messy bedroom, which is usually cleaned and tidied up by my mother. When my parents find out about all of that, I cry in front of my big family (during a family gathering). I tell them that my parents are bad parents who never take care of me and only care for my siblings.. Ps. I am the drama club president at my college, and I have won many awards for my acting skills. So, I know how to gain the trust of my big family through my acting... Hhh...

2 bangs?!? No! She’s not even close to being on the same level as Bang! She’s responsible for branding, not running a major corporation. It’s a joke to even entertain that idea! She’s despicable for dragging NJ and Ilit, who have minors as members; she’s putting NJ in a horrible position; if she WAS really ‘like their mother’, she would never do this to them. As for copying, she had no problem allowing NJ to ride on BTS’ coattails for publicity! AND yes, they’re under the same mother company and there’s going to be uniformity / similarities in concepts. There are even often similarities in concepts between the major labels! She actually alleged BSH copied her for BTS’ concept - if she hadn’t already ruined herself creating this nightmare, she’s absolutely ruined herself bringing BTS into it!

Hybe Responds To Min Hee Jin's Accusations • NewJeans' debut was postponed because of Min Hee Jin's ambitions, not their decisions • Hybe stated that they already answered Min Hee Jin's questions regarding NewJeans' promotion being neglected via e-mail • The company explained that their Communication Department did best for NewJeans' PR. In 2023 they wrote and spread 273 press releases for NewJeans only • BTS for their group and individual promotions (8 units) had 659 pieces while Seventeen who promoted 4 different units had 365 pieces • It’s hard to claim that NewJeans’ PR has been neglected, the company did their best to promote all our labels and artists without any discrimination • According to Hybe the documents found in Ador VP's assets can't be treated lightly because they included a detailed plan of taking over the company with notes about the timing suggesting when each action should be taken, copyrights infringement lawsuits and investment companies described in detail • Claimed CEO Min isn't under a slave contract • Hybe argue that "It was CEO Min who started attacking the company by e-mail around the time of NewJeans' comeback. In the forensic data, there is a record of CEO Min's instruction to prepare for a public opinion war from April" • Hybe continued: "It is CEO Min who is blackmailing the company by holding artists hostage. We have accepted and compromised Min's repeated demands for years, but this time we found out that these demands were a build-up process to seize control of the company, and we had no choice but to conduct an audit to protect the value of the multi-label regardless of the timing" • Hybe refuted the allegations that Min Hee Jin had little monetary compensation and unfavorable conditions at a press conference, saying that the company had offered high salaries, performance bonuses, and huge stock compensation • The company believes Min Hee Jin shouldn't complain about her finances because she received the highest annual salary among members of Hybe's headquarters and Korean subsidiaries • Min Hee Jin is not "tied up to Hybe forever"

So beyond what we already know, this woman doesn’t want HYBE to release the audit findings… I wonder why. So delusional and unprofessional. Her whole conference was so beyond pathetic I am surprised that people are now taking her side… based on her interpretations. Let people stop to think why would HYBE suddenly do this after having given her not only high ranking positions from the beginning but the top floor of the company which is normal reserved for the CEO! BTS deserves that floor! She got given her subsidiary when she was asked to help debut a girl within source music! She got the investment, the trainees, the resources, contacts and platform and then the 20% stock at a bargain! HYBE had great confidence in her and gave her too much in my opinion. I was surprised at how open and giving they were and thought to myself… will this be a good thing? I must admit I did not like her whole rebranding of the company initially but gradually got use to it. Now look at how she got the group their own app. No other group or label has that. Then believe it or not I did notice that most of the group’s speeches did not include HYBE … but then I thought ok… maybe it’s just a thing with them. Then you see the woman hosting them in her house showering them with expensive gifts… dressing them like her (she dresses like a teenager) , she is always around them like a leech even during their time in America. Then those questionable lyrics… photos or pictures on her wall. Now she believes she owns the Y2K and youthful concepts, the denim jeans and long black hair look…what a joke! Everyone has apparently plagiarised her when she herself has taken a lot of ideas from the Japanese group speed, German movies, tumblr, etc. THE CONFERENCE STATEMENTS MADE WERE UTTERLY UNPROFESSIONAL AND EMOTIONAL. HOW THE HEC CAN ANYONE BELIEVE THIS WOMAN? IS ANYONE TALKING ABOUT THE WAY SHE SPOKE OF MINJI AND HAERIN IN HER CONFERENCE? Am I the only one thinking this was super weird? And isn’t super weird that she is calling the members of the group and crying with them? Seriously how exploitive and manipulative is this woman? She is a CEO! Not a buddy! References to them being family is just plain freaking weird man. How people do not see this is beyond me ‼️

From what I am seeing, the press conference was meant to appeal to emotions and to represent herself as the victim of a hateful workplace. Apparently there's a lot of dislike and distrust for 'the bosses' among the workers, and they're very likely to side with her out of sympathy for having been 'oppressed at work by the corporate masters' themselves. I gather that a lot of people in white-collar Korean jobs really hate their work, but take the jobs for financial stability, so they're open to the idea that HYBE was 'mercilessly bullying the poor CEO lady'. And the fact that she presented quite like a K-drama is swaying emotions to her as well. But that isn't going to fly in the courtroom. We Westerners, on the other hand, have certain standards for this sort of formal situation. So we perceive her performance *as* a performance, and what we see is a messy, sloppy, immature, unprofessional woman fake-crying, swearing and rambling for a couple of hours in a press-recorded pity party. Besides that, after all these years of political conflict, we very readily recognize when lying, projecting, gaslighting and distraction are going down. We brush off the efforts at emotional manipulation and go straight for the facts; and the facts are on HYBE's side.

I don't get that at all - she IS one of the bosses, and the highest paid one at that. So if the public don't trust bosses why on earth would they trust her? I don't know the particular laws in Korea but I surmise that some of their laws were modeled after some in the US. One thing I have never been clear about w KPop is creative or intellectual property. When V did his solo album he used ADOR. I get that, all in the family. But some others have used completely different agencies for solo and group work. That seems like a disaster waiting to happen. Thanks for bringing up that HYBE was stupid generous with giving MHJ 20%. I think he had bad judgement in putting so much trust in her and I do believe he was motivated by some sort of feelings towards her. Not denying that she is good at marketing and selecting concepts and how she presented New Jeans to the world. But she has overstepped every sort of professional line in her inappropriate relationship with the members and their parents. I think she does care about the members but she is going about this in such wrong ways and being very egotistical about it all. She plays dumb when she needs to for empathy and then becomes smart and strong when she wants. For HYBE to come this far and sharing with the news so many details, they must have a lot of concrete evidence to dismiss her or even incriminate her. They wouldn’t do this if they could’ve just kept it hush in the company walls because why would they shoot themselves in the foot and lose so much money.

Did you think that Bang didn't want something like TVXQ back then happened again in his own company? Because we all know the story about JYJ leave the company and the group because of some offers with fast money. And it's all started with one of the member parent and then try to convince another members to join them and use the lacks in slave contract (as people who is get to know kpop with their businesses, old gen was like didn't know and understand about the whole contract and the parents just overwhelmed with the offers). Idols nowadays is much better to understand the contract. One of them is about that "slave contract" which old gen taught that all of the stuff is free. Also the consequences if they try to leave the company while the group still under the contract. Bang itself is an experienced producer so he knew a lot of major things while the lady looks like know some unseen minor things to shoot Hybe. At the end, it's about money after all. I wish there's no stupidity again happen, especially with popular names like them. The girls need to thinking about this wisely for sure. Hybe itself right now maybe ten times much bigger than SM in 2010. And obviously the government implicitly right behind them. Yeah, government. Korean government already makes a lot of deal through BTS popularity and capitalism in Korea is so real.

The idols always becomes the victim while the higher people busy making money over the idol's name and popularity, just like what happened between TVXQ and JYJ. The idols deep down to the never ending internal conflicts while SM, CJES, AVEX, etc still making money over the drama. The girls really need to know the case correctly before making decision to stay or leave with Ador. Look for my comment on IP matter. Music style is not something you can protect. However, so-called style and concept are also impossible to protect legally in thus case. They are both putting together existing or existed components like putting together a wardrobe. It is a great skill to do it well but not exactly IP. Literally nothing is wholy original. If NJ can protect this then whole lot of people should be able to sue them for high-school uniforms, 5 girl group, elvish photoshoot etc. None of it are original so no one can sue. Lol

You said source music was subsidiary before it was Big Hit. Not Correct. Big Hit Entertainment came first, then BTS became successful after being trainees for 3 years and debuted, after 2 years. They started winning music shows in 2015, and they won their first Daesang (first prize) in 2016. That's when they really started to take off. I don't know when, but Big Hit Entertainment became so successful due to BTS's Global success, that they started to acquire subsidiaries, and in 2021, Big Hit Entertainment split off into 2 different parts. HYBE Corporation (which became a public entity), and Big Hit Music (which stayed private, and is BTS's label, along with TXT and Lee Hyun, as well as each BTS members' solo projects). Source Music was acquired by HYBE. The parent company of BTS. They have, I believe, six labels so far that they have acquired for South Korea's HYBE. There are two other branches. HYBE America, which has subsidiaries, one being ITHACA HOLDINGS. And HYBE JAPAN, which has some subsidiaries as well. The reason they broke off is so they could diversify and expand their markets in Entertainment. You stated that CEO is Chairman of the Board - so how is it that HYBE's CEO is Park Jiwon, and the Chairman of the Board is Bang Si-hyuk? Bang PD stepped down from being HYBE's CEO, but hung onto the Chairman of the Board. Can you be the owner of the company and not be CEO? Because that is what I understood the situation to be.

In a corporate setting, you can be the owner and not the CEO. Corporation usually have more than one owner hence why it was made a corporation. Think Steve Jobs (Apple), Google (a diff CEO), majority of corporations owner(shareholders) don't hold the CEO position. Chairman of the Board (head of the board of Directors), since Hybe became a publicly traded company. At the end of the day, any major decisions in the corporation will be decided not by the CEO but by the Board of Directors (comprising of major shareholders).

Bang PD is the Chairman of the Board which means he is head of the Board of Directors. The CEO reports to the Board of Directors and carries out the decisions of the board. A Chairman who is the founder of a company can lose control of the company if the board of directors band together and vote against his/her wishes. This is why Chairmans try to keep the board stacked with their supporters. Steve Jobs is a fine example of how he lost control of his company. His vision was different from the board and they voted him out. When the company began to tank, they brought him back. MHJ has stacked the Ador board with her supporters. Thus the reason they have refused to call a board meeting at Hybe's request. I agree with the author of this channel that Hybe can step in and take over Ador based on ownership shares. Politically, Hybe is handling it correctly just based on MHJ's press conference. She is trying to establish the narrative that Goliath is oppressing her (David) because she raised a "whistleblower" issue of one label copying her work with NJ. By Hybe showing legitimate business reasons that a crime has been committed (sharing proprietary, confidential trade secrets with competitors), her dismissal is for legitimate business reasons and not because they just want to get rid of a strong women who challenges them. Although copying her work is not ethically right, Ador is a business unit of Hybe and they have the right to use the same concepts with another business unit if they so choose. She was handsomely rewarded for her work with a salary bump and equity ownership of the business unit (label). Hybe even publicly gave her credit for her success with New Jeans. It is messy, but if Hybe really has proof of the alleged transgressions, they will win in a court of law. As of today, MHJ is winning in the court of Korean public opinion. I think international fans are viewing all of this through a different cultural lens, thus they view MHJ and her press conference performance differently. This is a huge lesson to Bang PD that he needs to get his house in order and properly manage these labels ethically and fairly. He now has the status of a conglomerate and he is becoming a player in the international music industry. If he wants to play with the big boys, he needs to tighten his ship at home. He has another fox in the hen house with Scooter Braun and has put him on the board. If he is not careful, he can have another coup in his own house because he has unethical people driving the ship. The culture and tone of an organization is set at the top. If he participates in or tolerates unethical and divisive behavior in the organization, he will continue to have problems.

The only problem is that ADOR isn't publically traded (not valued publically) so you can't buy options on it. Which makes me suspect that screenshot is fake news.

She was offered the buy option as reward for her work, I believe it was noted in the latest financial report of HYBE that she exercised it beginning of 2024.

Scheduling is a non issue if you are different products eg in this case groups who are not going for the same segment of the market in this case fans who like certain sounds in music, aimed at different age groups, eg different demograhic's so sometime's having 2 things entering the market place is a 2pronged attack works well. However she should check in with scheduling to make sure there's no conflict or overlap.

shes gets away with so much. she acts like ador is not a subsidiary. its so hard for her to follow simple instructions. everything hybe/ceo jiwon did seems wrong to the point they get frustrated with her. she nitpick everything, and complains about everything. the kakao messages says it all, she rants and scold ceo jiwon all the time even belittle bang shi hyuk behind his back. i mean, if you are so stubborn and bossy, i dont get why she didnt just start her own independent company instead of joining hybe. hybe wants her help in the beginning but she can always says no.

Are there really any new concepts? Almost everything has been done before by someone somewhere. There only seem to be minor tweaks on presentation, sound etc. Most of the girl groups sound pretty much the same to me. But I can't get over her press conference. She is not meeting her legal obligations as CEO and tries to distract from this by putting on a big show - acting as a victim, dressing like a homeless person rather than a multi millionaire professional business woman. Come on.....what an act - she went back to her luxury home laughing all the way at the mess she made and the people she tricks into supporting her. Very evil woman.
