What to do when getting an investor on board

That’s not what a clawback is. A clawback provision (particularly in private equity) has to do with the fund managers and the carry interest they’re entitled to (which I won’t go into). Also, the logic on paying out the investor their initial capital is backwards. Why would an investor agree to your suggestion when: 1. The value of their shares (according to your example) will increase over a period of those 3 years - which means that the 50% that you want to buy back would be worth more (year on year) than R75. 2. Why would they dilute their majority shareholding to a minority stake which has limited voting rights (as pointed out by reference to the Co. Act). It just doesn’t make sense to a prudent investor. If your idea is not to (permanently) dilute your shareholding in the company, why not issue preference or redeemable shares? I’m realising a trend with these seminars. Are they free or are people paying for this advice?
