Thank you very much for your very complete explanation. I have a one owner S-Corp. It was formed two months ago. I have decided to dissolve it. It has not been making distribution nor pay any salary yet. However, it does have about $6k of revenue. Should this corporation make distribution and pay salary if it will go through a Corporate Dissolution? Will the IRS give penalties when the final 1120-S is filed if no distribution nor salary is made?

I only have one question : how long into a new year do you have to terminate an llc with the state so you don’t have to pay the $800 for the current year? we (my husband and I) agreed at the end december 2021 to go ahead and terminate my LLC but obviously we are still trying to rap loose ends so we can close bank accounts and all that . Can i file with the state today and back date it to the date we voted to dissolve ? or do i have a time frame to finalize everything? i hope this makes sense .

Hello Ms. Kramer. I was wondering how do I get my S Corp to form a LLC. I believe I was given bad advice by forming 3 LLC's and one S corp. My intentions was to form a S Corp and have the S corp to form the 3 LLC's. Talking to a few accountants they say that they are their own entity and cannot be done.

I never thought that it would cost me anything to close an LLC, but it turned out that I was totally wrong. Basically I just want to end everything because I'm running out of money, and now, to top it all off, they're asking me for $750 for the LLC cancellation service. I'm so fucked right now, don't know what to do...

What happens when my cousin dissolves the LLC behind the partners back and starts a new LLC and flips it into a new company (LLC) and the members are cheated, the LLC is worth millions of dollars, the LLC was started in 1973????

Hi Aiden. My LLC was dissolved by the Secretary of State because I had forgotten to mail a check for the annual report. I realized that I had made this mistake about a week before the deadline, promptly mailed a check to take care of it, but I still received a notice of dissolution. Is this reversible? I’m asking you because I have a lot of anxiety about this right now and it’s 7:30 pm so I won’t be able to get an answer to this question until tomorrow. Thank you!!!

Do you handle business matters and issues in Florida? or Colorado only?

I can only work with individuals/business in Colorado. The only exception to that, however, is with trademarks. I can work with people all over the country on trademark matters since that is controlled by federal law rather than state law.

What happens if i forgot to publish my L LC

Can I dissolve a single member LLC after one year that has been opened? I took a loan worked the business for a year and also invested part of the loan money. I was able to profit and pay off the loan within the first year using long term capital gains and income from the business. I own absolutely nothing to no one and I will pay my taxes before dissolving it. Can I do it without any problems ?thank you
