Hey Mark, Great video and explanation! I'm not a U.S. citizen by any means, don't live there either. So a while back ago I wanted to start some e-commerce business online so I had to register an LLC company and I got an ein number for myself as well because that's the way to do it according to the online gurus. I didn't make any money online because I got a job, got busy with life and other stuff... Now all I have is this franchise tax fee which is $300 I believe, but I'm really running out of money at this point so I really want to shut everything off with this company or whatever. What should I do? And what will happen if I just let everything go and not pay anything?

That likely depends on the terms of your partnership/operating agreement.

I'm thinking I also have to file an amended tax return for my last tax return to specify it as being the final tax return. Is that correct?

Hello, so i wanted to dissolve my llc for NYS. And the options for the reasonings are as followed: 1. The vote or written consent of a majority in interest of the members of the limited liability company. 2. There are no members of the limited liability company. 3. Pursuant to the dissolution date set forth in the articles of organization or operating agreement of the limited liability company. 4. The following event, as specified in the operating agreement 5. The entry of a decree of judicial dissolution. So i am not sure which option to choose since i am a single member and in the articles of organization I’m put down as a “Managing Member”.
