Can Convertible Debenture be issued against the Equity Shares bought back?

fresh shares means again equity shares. or any other shares what is the benefit of removing equity shares and then taking fresh shares

sir my doubt is if company creates CRR with nominal value of shares bought back then how do the creditors agree with it beacuse nominal value may be 10 and buyback price may be 50 it is not sufficient to compensate
