For the purpose of Regulation 24, material subsidiary is when income or net worth exceeds 20% of consolidated income or net worth of listed co and its subsidiaries in IPFY. It's "exceeds" but why sir says "constitutes"?

Post listing is requirements mentioned in lodr will apply after listing is done. Pre is prior to listing.

Yes, if there are outstanding SR equity shares, then AC shall comprise of IDs only. You're correct. It has been taught wrong in the video.

Sir I have one query regarding resignation of auditors read along with 140(5). There is suspected that auditor is involved in fraud and case is still pending before tribunal before any judgement auditor resign so my question is if tribunal founds auditor is guilty still tribunal can impose penalty and debare of 5 years on auditor. Reference - deliotte I&LF case High Court - yes penalty can imposed Supreme court - matter is still pending. There is chances it may come in ca final audit paper??

which contains Superior(more) voting rights (Right to vote in meeting) than other ordinary shares. For eg. company having SR equity shares may contain 10times of ordinary shares voting right.. then 1 vote of SR equity share holder considered as 10 votes..
