  The one thing that Batman has that Iron Man does not is his ability to come up with a strategic planning and then execute that plan flawlessly. He would figure out Iron Man's weaknesses, not just his tech weaknesses but Tony Stark's psychological weaknesses and put Tony at a strategic disadvantage. He would also use his ability to distract Stark so he could gain an upper hand. If Batman could drain Iron Man's suit of power, ground it or short it out then game over for Tony Stark.
