This video contains a number of mistakes and omissions. First, the "Contract of Carriage" is not a provision of an international sales contract. Rather, the "Contract of Carriage" is a separate contract from the international sales contract and in fact is not a contract between a seller and buyer at all but rather is a contract between the shipper (generally but not always the seller) and the carrier. It is either an ocean bill of lading in the case of an ocean shipment or an air waybill in the case of an air shipment. While an international sales contract may specify who has the obligation to arrange the carriage of the goods, that is usually covered by an inclusion of a particular INCOTERM. Second, the speaker also does not explain what the CISG Convention is at all and does not define under what conditions it will govern an international sales contract. The CISG automatically governs all international sales contracts for shipments from to the U.S. to another country that has also ratified the CISG. The parties to such contracts, however, may opt out of the CISG and choose the law of the seller or buyers’ country to govern their contract. The law that will govern an international sales contract is a critical feature for the parties to understand when preparing the contract, but is a feature that most non-lawyers do not understand.
