Eric is one of the sharpest and most practical attorneys I've ever worked with. It's great he's distilled this indemnity clause into useable and practical advice.

Watching this more than a year after this video was published and this is really great breakdown of indemnification provisions in a subscription agreement. Something a lot of transactional attorneys tend to forget is that when you break down an indemnification clause you have to think about the industry you're in, the types of claims that might be brought under the underlying agreement, the jurisdictions of the parties and other material context.
