So if I’m understanding correctly a series LLC is basically businesses under one parent LLC, all of which are operating independently?
The basics are more or less what you said. Series LLC lets you create multiple subsidiary companies under the shared umbrella of one overall business. Series LLC has a "master LLC" or "umbrella LLC" that is the primary LLC. The additional LLCs under the main LLC are the series. Each LLC in the series has its own name, its own legal entity for liability purposes, its own business checking accounts and more. Series LLC are only available and recognized in particular states, so you may encounter issues when crossing jurisdictions. It does get complicated and we certainly encourage you to speak to a lawyer if you plan to setup a series LLC.

Yea, it costs about $300 for the full useful package. BUT Amazon asks all their sellers to reverify and prove their business and/or residency address every year. It's just not worth selling anything on Amazon anymore. I'm done.

Where you form your company and where your business is operating out of do not need to be in the same state. For example, you can form a Delaware corporation but headquartered in California. Amazon should allow you to change your business address since companies will move over time. VPM's TruLease service helps you lease an office space that is available in one of our partner's owned buildings, no different from leasing an office on your own except that we offer certain conveniences and guarantees. You will sign a lease agreement to rent the office space. This office space gets you an address to receive mail along with the mail processing services so that you can read your mail online. My Amazon Affiliate account is linked to Shopify. So why can't I just use Amazon address? Seeing how that is where the product is coming from and if I can what address would I be using?

Internationals can either call or fax in their EIN application. More information is available on the IRS site at www.irs.gov/businesses/small-businesses-self-employed/how-to-apply-for-an-ein. You can also search for services that file the EIN for you. Many company formation services will do this for you for a fee.

Also, Amazon requires the utility bills to be within the last 90 days. You will need a utility bill which matches the name and address with the seller central account. If you are using the bill in someone else’s name, then you will need to prove the relationship between yourself and the person whose name is on bill.

Yes, a home address is allowed for the bank account for physical address requirements. Banks just need a physical address when opening a business bank account and that can be either a home or a business office. One can run a home business out of a home, so that's why it's allowed. The business address filed with the state doesn't always need to match the address that you use for the bank account. For example, you likely do not want to use your home address filed with the state because it becomes public record and anyone can then see where you live. But it's ok to use your home address with the bank because it's not public information.

Where you form your LLC does not relate where your office is located. I believe Shopify allows you to specify a different return address for handling returns. There's no requirement that it must be the same as your LLC mailing/principal address. There are many instances where returns go to a warehouse that is separate from your main headquarters (think larger companies).

But realize that where you form your LLC does not mean that you need to have an office in that state. This is something that people tend to misunderstand. Anyone can form a company in any state but still run their business in another state. Forming a company is a particular state is primarily for legal and tax reasons. To give you a good example on this. Let's say that you live in California and you purchased an investment property in Wyoming that you plan to rent out. To protect your personal assets, you decide to have the investment property owned by an LLC. Since the property is in Wyoming and is being rented out in Wyoming, you are considered doing business in Wyoming. Therefore, you decide to form a Wyoming LLC to own this property and rent it out to tenants. When you form this Wyoming LLC, you can put your California address (where you live) as the principal business address because you are actually running your LLC from CA. In general, when a company needs to do business in another state, they usually have to register in that state to legally do business there. The principal business can be out of state. This type of arrangement is extremely typical of venture-funded startups. Such startups usually form their company in Delaware for their legal system. But most of these startups do not operate out of Delaware but in most other states and even internationally. What's important to note here is that the principal business address listed on your company filings with the State of Wyoming should match up with your other documents (bank statements, lease agreements, etc).
