Im looking to buy a business that does 2.3 mil a year with a sde of 388k. I want to negotiate 3 months of working capital cash to be left in the business. If Im offering a 3x sde would I also be expected to have to pay extra for the 3 months of cash, or is that something that should be automatically included in the 3x purchase price?

Shanz, you probably have actual or effective control at 75 percent. However, it's important to review the laws relevant to your jurisdiction including the rights of minority shareholders. Discussing with a competent attorney would be ideal. Thanks
So how do i quantify goodwill sir, please. I actually have a homework on bussness valuation divorce case where the husband "stole" clients from the company that both his wife and him own. So he stole the client for few year, open his own co pany while he was still married with his wife, then they divorce few years later. The wife found out later when they were getting divorce. The question is how i may possibly evaluate the goodwill from this company. P.S i am a native french speaker, please fprgive my english. Please can u help on this. Any insight is welcome. 🙏🙏🙏

Hi Josh, my accountant said that if I got the loan for 30 employees but now I only have 25 not only do I have to give the equivalent money back for the 5 employees but on top of that pay pretty significant penalties. Is this true? Thanks
