You can be an LLC taxed as s-corp or corporation taxed as s-corp; it is only a tax designation. You may pay an overall less tax rate if you do an s-corp election, but there are higher administrative costs, namely tax preparation for s-corp and the requirement to pay yourself a reasonable salary on payroll. Consult a tax professional to help you forcast and decide. You don't need to decide right away, you can do the s-corp election in later years or terminate later if it's not right for you. I’m reading through these comments and trying to figure this out. If I formed my LLC in November 2023, is my first franchise tax due before April 2025?
So my Cali LLC was set up on July of 2023 so I won't have to pay fir 2023. But in 2024 my 800 fee is due on 4/15/24, correct?

Typically franchisor only has to be registered when they make the offering.

I got my LLC filed last January 18, 2024, does it mean my due date for LLC Franchise Fee is April 15th, 2024? I paid it on FTB website directly using the Credit Card option but I don't recall filling up any form they call Form 3522. Is the Form stil necessary?
Assuming your taxable year is Jan - Dec, then your annual franchise tax is due April 15 (on or before). Form 3522 is the paper form if you were to file by mail.

Generally you want each business in their own LLC. You can put it under the holding company if you want. You should probably discuss with your tax and accounting advisors also to make sure the structure is sound for your situation.

Franchise tax is owed regardless of sales. However, if you formed a CA LLC during 2021, 2022, or 2023, the FIRST year annual FRANCHISE tax is waived. You are still responsible for the franchise tax in subsequent years. Franchise tax and income tax are different taxes owed.

So for the 2023 tax year, if you filed for an LLC in August 2023, do you just type zero for the annual tax on the 2023 Form 568?
Sorry I am not familiar with this form as I do not prepare tax forms.
So how to mom and Pop landlords prepare for 568 when we don’t know for sure what our gross income will be, given, vacancies. I created an LLC in 2023, August so I know I don’t have to pay the $800 for 2023 but if I have to pay for 2020 for now, how do I fill out form 568 without knowing my gross income for certainty.
Typically you file your taxes for the year prior and pay income tax on the prior year income, but when paying the franchise tax, you pay for the upcoming (or current) year. If you have trouble filing taxes, I would recommend that you reach out to a tax professional to help you.

I have an LLC. Is the Entity ID the same as EIN? I haven’t created an FTB account so EIN isn’t working as an entity ID when trying to pay the annual fee.
No your entity ID number is the number issued to you by the California secretary of state. It will be on your articles of organization or on the secretary if state website under your LLC name. Your EIN is your employer identification number issued by the IRS. The EIN entity number are 2 different numbers.

For CA LLCs formed in 2023, you get a first year franchise tax waiver under law AB 85. In 2024 you have to pay for your 2024 annual franchise tax.
Hello so I live with my father and 5 years ago he made a business decision to refinance his home through hard money. It’s a short term loan where none of the payment goes to the balance owed. This balance is now due. He doesn’t have the funds. What would you suggest? It’s currently in his LlC but I have an LLC as well. Most likely you'll have to pay all the back taxes plus penalties and file a statement of information.

I have a trademark that's pending currently "Intent to use" I'm in the process of making it to "In Use" I sell skincare products. I have 10 products I want listed under my mark, Do each of those 10 products have to be sold where I received a transaction or I can sell one of the ten items? Also what does it mean the first date use anywhere? Can I use the date had stickers, business cards, and flyers made?
If all 10 products are skincare, and you applied for skincare, then you only need to sell one of the products to generally qualify for use in commerce. You cannot use stickers or business cards for the specimen, most likely you will need to show product packaging with the name or logo you are trying to trademark.
