BTW, I'm establishing an LLC for my foundation, and for each division of it, as general banking here in Kentucky (THE lowest cost for LLC registration in the Union!) demands. I checked the website for Northwest, and that looks good, too.

@@IJoeAceJRI IRS can fine you when you file your taxes. All business large or small must have a business license, and if you sell more 3 times in a 12 month period, you need to apply for a sellers permit too.

We have created our LLC business already and listed my husband as the registered agent, if we hire a company, how do we make the change?

Why? Care to expound on that a little more. I'm weighing the decision now, and I don't really see a ton of benefit to a service. My mailbox is available to receive mail "during all normal business hours" and I don't need a professional email reminder to follow-up the notice from the state. In-fact, the only benefit I see is the privacy created by putting separation between the two entities.

@@jamesruyle474 You should care greatly about privacy, although that doesn't seem to be the case given social media. But it's a big deal depending on the type of business you have. People are "sue" happy It and it also allows you to focus on the things that make you more money. so it's a fair trade. I coach small business owners and although I tell them to keep their overhead low. I let them know more important than anything is learning to delegate. That transitions you from being a business operator to a real business owner.

I spoke to a registered agent today and he told me that I still need to rent out a ups mailbox because they don’t allow for me to use their address and wouldn’t handle my business mail. I was so confused, so what am I paying him for? Doesn’t make sense right?

The main purpose of a registered agent (and the reason state's require them) is to receive service of process. Service of process is a legal summons that serves as notice of a lawsuit being brought against you. The state requires that an individual resident of the state that is 18 years or older be present at the given registered agent address at all times, during normal business hours. Having a registered agent service can also protect your privacy as the registered agent's name and address is public record. I purchased a registered agent service due to this video because I thought it would keep my Primary & Mailing address (personal addresses) "private". I called my FL division of corporation and they said a registered agent doesn't keep my personal address private from public record. They said you can get a virtual address to have as the primary & mailing address if you don't want your address online. Did I misunderstand something or is this video incorrect?

Try searching for an accountant or lawyer on LinkedIn who speaks French and is willing to advise you. An LLC is a distinct legal entity that is separate from its owner(s). The registered agent requirement relates to the LLC, not the owner(s). Here’s an extract from New York LLC law: “…each domestic limited liability company or authorized foreign limited liability company may designate a registered agent upon whom process against the limited liability company may be served.” Notice it uses the term “each”. The LLC laws of other states are likely to be drafted in the same way.

Is the CEO and Registered Agent separate? I.E Would I be the CEO if I hired a commercial Registered Service Agent?

It might not be too much. It honestly depends on what services you are getting for that $400. If you get access to an actual person because you like a personal touch or want to build a working relationship building a team of professionals around you (I highly recommend this) then it could be a nice price to pay. If you just want someone to file things for you then yes it's too much!
