    Some starting terms re: contracts: - validity: is this contract valid under law? - consideration: do both parties get something out of the deal? - verifiability: could a court verify the actions described in this contract? - enforceability: can a court enforce the actions described in this contract?

    Sorry, but this was like reading an old philosophy tractate from antic Rome. The person behind it is knowledgeable, but understanding it or trying to take away anything from it is very difficult. Had troubles to follow his thoughts.

    At actual, purchaser sends purchase order for supply or services , as per final negotiation. But they add standard terms also. In return, supplier accepts PO , with some comments. Then work started and exchanges payment. Neither purchaser objects on comment nor issue revise PO. This is very common in real world. Please advise legal standings.

    Pl advise , whether total liability of contract is different than indemnity. If total liability is limited say 10 % of consulting agreement, can we get away from indemnity clause. Can we fix indemnity . It is related to engg consulting and not site construction.
