Hello Matt. Thank you for all the information and guidance you have provided with your videos. Feel grateful to have come across them. They provide the most updated information, are organized, and easy to follow. Had a concern, I am unsure if I need to complete a certificate of change. hoped you could provide some clarification. I decided to use NorthWest as my RA, and also wanted to publish my ads in Albany to save on publication costs. I recently completed my articles of organization following the steps you listed in another video; however, when completing the articles of org., I marked Albany county, but I was confused on which address to use for Article 3, Service of Process (wasn't quite clear in the video), so I used my business address (located in Nyc). For Article 4, Registered Agent, I provide Northwest RA's name/address. Will I have a problem publishing the ads in Albany since I used my Nyc business address for Article 3, Service of Process? Hope I don't have to pay to change the address twice :( Also just to confirm, now that I already have a filing receipt, I just need to wait for the state to send me an approval notice once my LLC is approved, then once approved, I can start the newspaper ads? Hi Vanessa, thank you for the kind words! In your case, you do not need to file a Certificate of Change before running your newspaper ads. Apologies again that our video was not clear about which address to list in Article 3 (Service of Process). It does look a little better to have the Albany address listed there, but it doesn't have legal importance as the county where the ads will be published is based of Article 1, the office's county location, so you are good to proceed as-is and publish your ads in Albany county. Shortly after you received the Filing Receipt by email you should have received your stamped and approved Articles of Organization. And yes, from there, you can begin publishing your newspaper ads.

Hey Alex, that's awesome to hear! Congrats on the new business. Your storefront address doesn't have to be on the Articles of Organization... unless you prefer it to be (then you could file a Certificate of Change). However, you can use the storefront address (or any address you want) on your EIN application, regardless of what's on file with NY Division of Corporations. Hope that helps.

Thank you for this video. My LLC was formed in 2018 in NY and I have moved to FL and want to move the LLC as well. Do I complete this form or do I complete an Articles of Domestication? Will I have to go through the publication part in Florida as I had to do in NY?

Hi Sammie, you're welcome. There are three ways to "move" an LLC. The Certificate of Change doesn't do that. Do you need to keep the LLC history, such as bank account and EIN or are you okay starting fresh with a new Florida LLC? If you need to keep the history, there are two other filing methods. Do you plan on staying in FL for a while... do you know how long? I'll add more details in my next reply. And no, there is no publication requirement in Florida. Hi, your video is so helpful, thank you. I got a registered agent so as to publish in Albany, but now I don't need it anymore and want all documents to show my address. Do I change the name and address of the registered agent to my own, also for the process copies, or do I actually revoke the registered agent? In other words, would I change Article 3 #1 to my county, Article 3 #2 to my own address and Article 3 #3 to option 2, changing the designation of the registered agent. Or do I select option 4, "Revokes the authority...", and they'll know to revert to my home address? Also, I published via a registered agent's address already, but NYS still hasn't processed my publication. (It's been submitted but they're backlogged many months because of covid.) Do I have to wait until I get that confirmation before I file the certificate of change form?

Hello, we usually recommend waiting. I know, NY has been SUPER slow. And you're correct. You'd change the county in THIRD #1. Add your address in THIRD #2. And revoke the current Registered Agent in THIRD #3. Any mail will then go to the address listed in THIRD #2. The reason you don't have to change the Registered Agent to yourself is because Registered Agents aren't technically required in New York.

I am a little confused. I want to change the registered agent to myself. I am the sole member of the llc. I have a registered agent in albany. I want to act as my own registered agent. I would change the county to my own county then do I put my address in #2 under "THIRD" and then on #3 under "THIRD", I would check changes designation and put myself in there AND check the revokes box?

Hey Joshua, yes, you are correct. In the "THIRD" section, you'll only need to check off #2 and enter your new address, city, state, + zip on the single line. Hope that helps.

Hi Matt I created an LLC with leagal zoom and used my address located in NYC. After watching your video I then learned about the registered agent in Albany to save money using their address. Do I now have to do a certificate of change with the state to the RA In Albany Address before I can do the ads in Albany county ?

Hi Ebonee, yes, that is the proper way to do it. Note, things will take a while b/c the state has been backed up. It can take months to get the address changed. Hope that helps.

Hi Matt, we filed the change of address at the end of last year. On April of this year, we received a letter that says "We regret we have not been able to file this document and it's being returned to you for the following reasons: - Our records indicate that the corporation has not previously designated a registered agent. This office will be unable to apply the retained filing fee if you fail to include a copy of this letter with your resubmission." What should we do in this case? Hi Delia, while you may have hired a Registered Agent, what this letter tells me is that they are not listed in the Articles of Organization (under the Registered Agent section). That means when you made a selection in THIRD #3 to change them, the state couldn't do anything because they weren't there. Said another way, if you file the Certificate of Change and only complete THIRD #2 (change to your new address), all should be good. I can confirm this is you share your LLC name.

Hi Sorri, you don't have to file an amendment. What is the purpose or hiring a Registered Agent... did you do it for the newspaper publication requirement? Also, can you share your LLC name? We'll see what fields are filled out so we can provide context to the Certificate of Change form.

I had myself as down as the registered agent which got me in trouble with my landlord. I plan on use a registered agent's address as my business address for those purposes, of ,which per their website's Q&A, is permitted by registered agent's.. I have two questions... Hi. I have a sole member LLC that I operate from a home office. I'm keeping my registered agent, but I recently moved to a different apartment within the same county, so the address of my LLC moved with me. Do I need to file a certificate of change even though I'm in the same city and county and just moved over one zip code? And if so, do I write my old address at the bottom of the form since the address of the business has been technically been changed yet? I assume I write the new address in number 2.

Hi Dennis, you are correct. You'd file the Certificate of Change and leave THIRD #1 and THIRD #3 blank. You'd complete THIRD #2 and enter your new address. You can also use your new address at the bottom of page 2 (Filer's info). This changes your address with the NY Department of Corporations. For Third #2, you can just enter the address. No need for a name or LLC name.

Hey iVideos, yes, if you are filing the Certificate of Change, the filer address field should be your new address. Question, I used legal zoom to file my llc. I never sent in the publication certificate. So I've purchased a work vehicle out of state in the business name, and I'm having trouble providing proof of llc ownership- even though I sent every page from legal zoom. Would I be able to find this on nys website? Would I need to follow up with the publication part and wait? Not sure this was throughly explained by legal zoom when I registered back in 09

Hi Kevin, the publication requirement doesn't impact ownership. By default, LLC Members (owners) aren't listed in the LLC Articles of Organization. However, if you have LLC Operating Agreement, that will show you're the owner: www.llcuniversity.com/llc-operating-agreement/

Right now, NY is quite delayed. It could take 2-4 months. Whatever address you enter in the form (THIRD #2) is the mailing address on file with the NY Division of Corporations. Hope that helps.

Hi Manuel, to change the county, that is the only thing you have to select on the Certificate of Change. You don't HAVE TO revoke the Registered Agent (unless you want to).

Hi! what a great video! Thanks for the value information. I have the following question: -My LLC has already a register agent and their address, but now I need to change this information to put myself as register agent and my business address (Which is in a different county). I sent the certificate of change but they reject my request for the following reason : "our record indicate that the entity has designated a register agent. law requires the revocation of such registered agent" It looks like I filled it in the wrong way. Hi Laura, thank you! In this case, you can check off "Revokes the authority of its registered agent" under THIRD #3. For THIRD #1 enter the county of the address you'd like to change to. And then for THIRD #2, enter the address you'd like to change to. Once your Certificate of Change is processed, there will just be one address on your LLC (the new one you're updating to). Hope that helps and hope that makes sense.

Hey Mina, it can take up to 45 days. NY is super slow. You can try calling the Corporation Division. But they'll just tell you to be patient and wait ;) Hope that helps.

I Formed an LLC with a wrong address (there is no such address at all). I realized this right after I formed it before applying for an EIN number. Do I need to change it by the dept. of state (if there is no registered agent) or just enter the correct address on the tax return?

You'd want to do both. File a Certificate of Change and use the correct address on your tax return. If you only did the tax return, the tax agency doesn't update the NY Division of Corporations.

Hi Anika, Form 8822-B is used to change your address with the IRS: www.llcuniversity.com/irs/llc-change-of-address-8822-b/ You can use the Certificate of Change to update your LLC's address(es) with the New York Division of Corporations (aka changing the address on the Articles of Organization).

Hello! I created an LLC in NYC in 2015 and I naively signed up with LegalZoom which charges me $500 a year. So I am completing the paperwork to switch my registered agent to the State which charges a fraction of that. I am a little confused by the options in #3 on this form. First, im assuming that "changes the designation of its registered agent to:" is the option I would want-( listing NY Secretary of State). Would I also select the previous options as well? Next, im having trouble figuring out which address i am suppose to list for this. And finally, am I onlt allowed to mail this in ? No online submission and payment? I need to wrap this up in a week if possible

Hey Roman, you said "switch my Registered Agent to the State which charges a fraction..." If a state requires an LLC to have a Registered Agent (most do; NY doesn't), that Registered Agent must be in the same state where the LLC is formed. In your situation, you could simply revoke the Registered Agent you have and then just include an address where the Secretary of State can forward process (legal mail). That address (the forwarding of service of process address) can be anywhere. It doesn't have to be in NY. You may be able to fax, but I don't recall off the top of my head. Please see this page: www.dos.ny.gov/corps/faq_faxes.page.asp. We recommend calling the NY Division of Corporations and asking them. Hope that helps.

@@llcuniversity thank you! I'm definitely struggling with the terminology. "Revoking" definitely makes sense- does this mean that the mailing address then defaults to my own personal one? (It isn't clear about this and doesn't allow me to specify with this option. Regarding expedient processing, I got this answer from DOS: [The Division of Corporations offers optional services for the expedited processing of documents. For a fee of $25 per document, the division will process a document within 24 hours. For a fee of $75, the division will process the document on the same day and for a $150 fee the division will process your document within 2 hours. You may obtain expedited processing by submitting a separate, non-refundable fee and noting on the envelope and cover letter "Attention: Expedited Handling."]---re reading this I see that it still must be mailed in however I was confused by the 2 hour and same day processing options.

@@theendaudio I would still call re: whether or not you can fax. By default, there is are two "address fields" in the Articles of Organization. The first just states the county location of your LLC (not a full address; again, just a county). 2nd is the address for forwarding of service of process. This is where the Secretary of State of York forwards any legal mail they get for your LLC. If you hire a 3rd party Registered Agent (which isn't required in NY), then you have a 3rd address... the Registered Agent address. So revoking the 3rd address doesn't change the first two. Best thing to do is search your LLC name on the state's record: llcuniversity.com/new-york-llc/search/. Then let us know which 3 addresses are listed. Then again, repeat what your end goal is. I know this stuff is confusing at first. You're almost there though :)

I checked it out and my Process address and Agent address are both listed as NY state: C/O UNITED STATES CORPORATION AGENTS INC 7014 13TH AVENUE STE 202, BROOKLYN, NEW YORK, 11228. No mention of any other- So im not exactly sure what LegalZoom is charging me for if its going to NY state anyway. (After I'm done bothering you I am calling them- I just want to know what im talking about when i do).

Sorry to be a pest- I think this is my final question. But I was mistaken- both addresses listed ARE Legal Zoom- with no 3rd address listed to note. I called LegalZoom and they said (with attitude) that the correct selection would NOT be to "revoke" but to "change the designation of the registered agent to...". Which again leads me back to needing to list the proper state address for representation- of which i am uncertain. I guess I dont see the difference between the first two selection on the form (designates ___as its registered agent" and "changes the registered agent to___". Either way I can select one and list "Department of State Division of Corporations One Commerce Plaza 99 Washington Avenue Albany, NY 1223" and be on my way correct?

So if iam keeping all registered Agent info the same, the only thing i want to change is the LLC Address that is done in the Last section correct

Hi Lana, first, please make sure you're Articles of Organization has the Registered Agent actually listed in it's own Article. Sometimes, even though a Registered Agent has been hired, their address is just used as the address for "forwarding of service of process" and not as the "Registered Agent" address (NY has some quirks regarding Registered Agents). Assuming your Articles of Organization was filed listing a Registered Agent in its own Article, in the 3rd part of the Certificate of Change you'll check the 2nd box ("Changes the designation of its registered agent to...") in order to remove your existing Registered Agent and replace them with yourself. You do not need to also check off the 4th box ("Revokes...") That would actually remove all agents altogether. Think of the 2nd check box as removing the old and adding the new one ;) Hope that helps!

You're welcome Lana. And thanks for your help in correcting my initial reply. Nope. A Registered Agent is not required to have a SSN. A Registered Agent is a person (or company; called a Commercial Registered Agent) that agrees to accept Service of Process (legal mail, such as a summons, writ, complaint, subpoena) on behalf of an LLC. So you can be the Registered Agent for your LLC or a friend or family can be your LLC's Registered Agent (as long as you reside in the state)... or you can hire a Commercial Registered Agent. However, New York is a "quirky" state when it comes to Registered Agents (much different than other states), in that, by default, the New York Secretary of State serves as the "agent of the limited liability company upon whom process against it may be served." Meaning, by default the NY SOS is the Registered Agent for all business entities. However, you can still elect to hire a Commercial Registered Agent if you'd like (but they're usually not needed... unless they are being used as a part of the newspaper publication strategy to save money)... but many people are tricked into hiring a Commercial Registered Agent because some website told them it was a "requirement". The state will send you back a Filing Receipt once it's been updated. And you should be able to use that.

Hey Avit, it's best practice to work with an attorney to make sure all paperwork is in order. If Members are listed (or anything has changed) on the Articles of Organization, then that should be amended. If not, then it's not needed, but the LLC Operating Agreement should be amended. You should have an agreement showing the transfer of membership interest. An LLC Resolution is also beneficial. You may need to update the NY Department of Taxation and Finance. Bank account needs to be updated. And you'll want to change the EIN Responsible Party with the IRS (www.llcuniversity.com/irs/change-ein-responsible-party-llc/). Hope that helps.

@@nurshah816 - It sounds like the form the attorney provided is the form that transferred the ownership. It's just an "internal document", meaning, the state tax dept. and IRS don't know. So they need to be updated with the new owner info.

That includes the initial steps when filing for the article of organization, filing receipt, EIN etc? Hey D, you have it partially correct. You can use your Registered Agent's Albany address in the Articles of Organization. The Filing Receipt is sent to the "Filer's address" that you list in the Articles of Organization. However, for the EIN, you can just use your regular address. The EIN address doesn't affect the newspaper publication requirements. Hope that helps.

I've plan to change the address from registered agent to my own address. But as per the strategy I might need to wait for a month of 2. You can file the Certificate of Change to change the address. The Owner (aka Member) and any Manager's can just be changed in the Operating Agreement. There is no public form with the state that has Member or Manger information. It's private/internal information in NY.

Hello, Any idea how long I need to wait for the Certificate of Change to be processed in NY. I've sent it at the end of May, but now it's the middle of July? Almost two months. Should I re-send it or keep waiting. No update yet on the website database. I wonder if it was lost in the mail.

Things have been delayed, however, we don't know by exactly how long. Typically, pre-pandemic, 45 days was about average. I'd say maybe wait another month if you can. If nothing from that, that you can resubmit. Hope that helps.

Hi Shuntel, you'd change your county from Albany to Queens in THIRD #1. Then you'd enter your address in THIRD #2. Then in THIRD #3, you'd choose "Revokes the authority of its registered agent." Then make sure to contact ZenBusiness to cancel the Registered Agent service. Hope that helps.

Yes, this is allowed, since a (Commercial) Registered Agent isn't required in NY. You can just have the NY Secretary of State be the Registered Agent for your LLC (this occurs when you revoke the current one and don't list a new one). And yes, the mailing address can be in any state, so a Florida address is fine.

Hey! This is a great video, I just have a question! Currently all addresses attached to my LLC are under one address. I am trying to change the address of my registered agent, as well as my physical business address (but I want to keep any & all mail going to the address of my registered agent). I filed an LLC earlier this year in NYS. I have since moved the business to a new apartment. I got a PO box for mail so clients aren't sending me things where I live. Is this the form I use? Also, would that mean the state just needs the new County it is located and then the mailing address, it doesn't need the new physical address of the business? I changed the address online via the NYS Taxation and Finance website, is that also sufficient or something completely different?

Hi Michael, good questions. The Dept. of Taxation and Finance is a different department. They administer tax. Changing your address there doesn't change it elsewhere. So yes, this is the form to change your LLC's as listed with the Secretary of State. And yes, you'd update the county and the address for forwarding of service of process. Hey Isa! Correct, THIRD and then check box #2. No, this only changes your address with the Division of Corporations. You'll need to change your address manually every place else yourself. Here is how to do it with NY Dept. of Taxation & Finance: www.tax.ny.gov/help/contact/address.htm. Here is the IRS form: www.irs.gov/pub/irs-pdf/f8822b.pdf. Every where else, like bank, online accounts, etc., you'll have to change those one by one. Hope that helps!

Changing state of formation can be done in three ways. First, there is foreign LLC registration (register your NY LLC to do business in FL). This keeps everything in place, like bank account, EIN, etc. Then there is dissolve and new. Dissolve the NY LLC and form a FL LLC. But this is pretty much starting from scratch. Then there is domestication, which is like "converting" the state of formation. You'd file a Certificate of Domestication and Articles of Organization in Florida... and then after it's approved, you dissolve the NY LLC. This keeps everything in place, like bank account, EIN, etc. Hope that helps.

The Certificate of Change is filed with the NY Division of Corporations. DTF-96 is filed with the NY Department of Taxation and Finance. The first agency forms entities and administers them. The second agency taxes them.

Full name vs. nickname isn't an issue for the LLC formation itself and it terms of the IRS, however, I don't know about buisness loans. Try calling a few lenders to see what they say. A Certificate of Change won't change the filer, but you can update the Registered Agent info.

Hi...I registered a DBA earlier this year under Plug records. now I and my brother is joining to be partners, but I registered plug records in Erie County, New York under my name. And my brother recently filed an LLC he forgot to add me as a partner, the name he registered is not what want to use as the head company LLC Name, We want to change the LLC name, and use the first name he registered as an assumed name. ex: he registered the LLC under NEW YORK'S RECORDS but we want to change it to ''AMERICA'S RECORDS'', AND REGISTER NEW YORK RECORDS AS AN ASSUMED NAME UNDER AMERICA'S RECORDS. Hi Wilmont, in New York, LLC Members aren't listed in the Articles of Organization, so you'd just need to have you both listed in the Operating Agreement of the LLC. You can change your LLC name by filing an amendment. We have instructions here: www.llcuniversity.com/change-ny-llc-name-certificate-of-amendment/. Then you'll file new Assumed Names for the LLC. There's no limit to how many Assumed Names you can have. Hope that helps!

Hey Wilmont, you're welcome :) If the Assumed Name will be owned by your LLC (and not you personally as a Sole Proprietorship), then it's filed with the Department of State (DOS), Division of Corporations (www.dos.ny.gov/corps/assdnmins.html). You'll check off Erie County within the Certificate of Assumed Name. Nope, no separate taxes. The Assumed Name is simply an "extension" of the LLC, aka a "nickname" for the LLC. At the end of the day, you'll still just have an LLC. Hope that helps :-)

Hi Nigel, no, you don't need to keep the Registered Agent unless you'd like to use their address for the forwarding of service of process address. New York is a bit funny in that, by default, the Secretary of State is the agent for all LLCs. If there is a Commercial Registered Agent in place, it's kind of like a "2nd Registered Agent". Do you have a need for the Registered Agent going forward? It's not necessary to cement/legitimize your LLC.

Great name by the way! Okay, all makes more sense now. You're correct, you don't need to file any changes with the NY DOS. The LLC filing doesn't ask for "physical address". So right now you have 2 addresses for your LLC ("mailing address" and Registered Agent address). So you don't need to change them. Hope that helps!

Hi matt, If I were to file a dba or certificate of amendment, what would I place under the principal place of business, if I haven't completed the publication process yet, but am using an albany registered agent and residing in nyc? Hey Mike, let me first clarify something. Are you first forming an LLC and then having that LLC do business under a different name (a DBA)... or are you only filing a DBA, which is you doing business as yourself under a "company name" (aka a Sole Proprietorship)? Thanks.

Hi Michael, I'd file your "Certificate of Assumed Name" (www.dos.ny.gov/forms/corporations/1338-f.pdf) using Albany County and the same address you listed in your Articles of Organization (for consistency). Then later, when you move offices and change your address, file a "Certificate of Amendment of Certificate of Assumed Name" (www.dos.ny.gov/forms/corporations/1626-f-l.pdf). Hope that helps.

Hi I've sent out the mail(more than 5 days) to revoke the registered agent. How do I know or inquire if the NY state processed that request? Please advise and thanks again for such informative videos.

Hi Muhammad, because of mail delays, it may take 45-60 days before you get back a Filing Receipt, which shows proof. You can instead search your LLC on the state's database (still might take 1-2 months to update). We have the link on this page: www.llcuniversity.com/new-york-llc/search/

@@llcuniversity I sent certificate of change by July 7,2021 to revoke registered agent that renewal is at July 31,2021 Now I cancelled the registered agent subscription but looking at state database I see registered agent still showing as northwest registered agent. Is there anything I need to worry about? What if I don’t have no registered agent in file? Please advise.

@@muhammadeakub6793 - If you cancelled your service with Northwest and filed the Certificate of Change, you are okay. The state is just delayed. They will update the database after they process your document. It could take 1-2 months.

@@muhammadeakub6793 hi I'm in the same boat as you are, this is very confusing, I canceled my registered agent as well because they were charging to much... NY Secretary of State by default acts as registered agent for all LLC'S my question To revoke current register agent is #3 last box? Is there anything else you have to fill out so New York Secretary of State will be the registered agent? Lol Basically what I'm asking is how to fill out the form with just having New York Secretary of State be my registered agent so my LLC can remain and good active standing Thanks

@@howto7248 - The state is delayed right now. It's anywhere from 2-4 months, unfortunately.

Can I mail this Certificate of Change and cancel my Registered agent a week later? Or do I have to wait a few months before I can cancel?

Hey Eddie, nice to hear from you. I say once you receive back the Filing Receipt for your Certificate of Change, you're good to cancel the Registered Agent services. Hope that helps.

LLC University thanks. Do you happen to have an idea how long that usually takes? Just wondering because my RA is up for renewal in 3 weeks. Lol

It's usually about 3-5 weeks, but it's mostly waiting for mail. On that note, I'd just cancel a few days before renewal then. You should be fine. You can also call the DOS and check on the status of your filing. This way, you can call about 2.5 - 3 weeks after you send it to double-check on it's filing status.

Hi Candace, no, you don't file a new Articles of Organization if you change your Registered Agent. The Articles of Organization is only used to form an LLC. Hope that helps.

@@llcuniversity because the registered agent I had was charging $119 per year.. I paid 2 yrs in a row, and found out now, I can have it for free being my own registered agent.. Question NY state can act as my registered agent as well right? How do I go about putting them as it?

@@realtalk8346 - Okay, that's exactly the reason I asked. New York is different than other states in that, by default, the NY Secretary of State is the agent for all LLCs. You don't have to designate the NY SOS. Instead, you'd just revoke your current agent's authority. If you look at #3, it's the last check box. You'd complete #1 or #2 if your county and forwarding address changed. If you're not sure which county or address is on file, you can search on the state's website. I wanted to change my LLC address within New York State, I have the following questions; Q1- Do I only submit the form "Certificate of Change" with the IRS or I need to submit something else in the NY State as well? Q2 - Does the address need to be a physical one or it can be a virtual address as well? Q3 - Where can i find a virtual address?

Hi Talha, you're very welcome. The Certificate of Change is only used to change your LLC's address with the New York Division of Corporations. To change your LLC's address with the IRS is a different process. We have instructions here: www.llcuniversity.com/irs/llc-change-of-address-8822-b/ You'll also need to file a DTF-95 with the New York Department of Taxation: www.tax.ny.gov/bus/ads/dtf96.htm And you'll then to update your bank and any other place that has your old address. Yes, a virtual address is okay. We don't have specific recommendations at this time. Hope that helps.

@@llcuniversity Got it. thank you for the valuable information. I have two questions here; Q1: A $30 check should be written only to the NYS Division of Corporations. right? No need to send money to the IRS? Q2: In the form "Certificate of Change, what does it mean by the "registered agent"? Who is the registered agent? In Part-3 of this form, I see three boxes that can be checked, which one should I check as I am an owner of NYS based LLC and just want to change the address for the LLC, Please let me know.

Q1. Correct. No money needs to be sent to the IRS or the New York Department of Taxation. Q2. We'd need to look at your actual LLC filing to see how it was filled out. @@talhashah5104 - Thanks. I searched your LLC name on this page - apps.dos.ny.gov/publicInquiry/EntityDisplay - You can see that there is no Registered Agent listed. So you can ignore Part 3. Please review your address listed with the state. If you need to change that, you'd edit Part 2 (and Part 1 if the county is changing). Hope that helps.

Can I use this form to change the name of my LLC?

Hey Hammad, no you can't. In order to change your LLC name in New York, you must file a Certificate of Amendment (Form 1358) and pay a $60 filing fee. You can find instructions here: www.llcuniversity.com/change-ny-llc-name-certificate-of-amendment/. Hope that helps!

For a subsidiary under an LLC can on use LLC in the name of the subsidiary even if it isn't registered as a LLC with the state?, i.e. " ABC, LLC (main company), DEF, LLC (subsidiary company)". In accordance to New York State. Thank you

Hi Matt, I'm moving to NJ from NY. My LLC is registered in NY. My new home office will be in my house NJ (and I won't keep a physical address in NY even though my clients will be there). Do I need to update the county location to the one I'll be living in in NJ (in 1) or do I just fill out my new address in NJ for the paperwork (in 2) and that's it. Thanks!

Hi Will, the county needs to be a county in NY. Are you looking to move your LLC in New Jersey. If so, that's referred to as domestication. To "convert" your NY LLC to a NJ LLC (if that's what you choose to do), you'd file an Articles of Domestication and Public Records Filing/Certificate of Formation with NJ.

@@llcuniversity Hi Matt, thank you for your kind reply. I thought about domestication but I read it's only allowed when both of the states (original state AND new state) allows it. Problem is NJ allows domestication but NY does not,. Hence my CPA recommended to just register it as a foreign LLC in NJ, especially since I was told that in regards to the office, NY allows for the address to be within any 50 states

@@willkuhn4344 - Hey Will, you're welcome. We don't do a ton of domestication, but I would triple-check on this. Ring up NJ (Dept. of Treasury) and NY (Dept. of State/Corp. Div.) as I think you can just domesticate in and then dissolve in NY (rather than having to domesticate out). Also check with an attorney. You could also leave the LLC in NY and foreign qualify in NJ. Regarding the addresses... there's a few for NY LLCs. The county of the office must be in NY, but the address for forwarding of service process can be located in any state. Hope that helps. Feel free to keep me posted if you find anything else out. Hey Majesty, the NY SOS only needs the county location of the LLC's office, not the full address, so you actually don't need to file anything based on what you said. Having said that, if the forwarding address where you will receive service of process has changed, then yes, you would use this form. Hope that helps.
