Ok last question for now. You said that you can take a year to see how your business works first before applying to be taxed as an S-corp. I was told that If you don't do it once you get your entity, you can Never apply for it again. Is that true and or does it go by federal or local rules? Thank you. Nope that's wrong. When you start the business, you have 2.5 months to make the s corp election right off the bat. If you don't do that, you have 2.5 months from the beginning of each year to make the election effective beginning in that year. But you can't flip flop back and forth every year, you kinda have to pick one and stay with it. (There are exceptions to all of these rules, of course.) Maybe that's what your friend was thinking about? Idk, but I'm right either way. 🤣 Thanks for watching!

can one or two shareholders have major shares in a corporation? if so, what is the highest held percentage these member can retain in the company?

Why do LLC's have to claim all income and S corps get to pay themselves whatever? Would it make sense to get your LLC taxed as an S Corp or would that hurt your LLC? For someone just starting their business.

That's not exactly correct. S Corp income all has to be reported as well, and its all taxed, just in a slightly different way. It can definitely be a BIG benefit to have the LLC taxed as an S Corp as it can greatly reduce the overall tax bill. But I rarely recommend the S corp election to somebody who is just starting out in business.

You can convert an LLC to a corporation in most states, or the LLC can elect to be taxed as a C corporation. Depends on what you're trying to do; plenty of really big successful businesses remain LLCs.

A suggestion.....try not to be too animated when explaining. I’m trying to focus on the information and you’re talking really fast and your animation is distracting from the information I’m trying to absorb. Perhaps it works for other people, but it’s a huge distraction for me.
