    When the seller rolls say 30% into the newco how does the PE company know how much equity to offer the seller in the newco? Presumably since the second bite of the apple will be much larger this equity stake in the potentially larger newco would likely be single digit equity. Interested to know how this is calculated.

    Hey! Great question. Unfortunately, there is no standard answer, it is based on a multitude of factors and each deal is different.
