In New York, you don't need a registered agent. To form an LLC in NY, the NY Secretary of State must be designated agent of the LLC for service of process. Essentially, this means that the Secretary of State is serving as your LLC's registered agent. Some incorporation/LLC formation companies will tell you that a NY registered agent is required by law; they either don't know the law in NY or are trying to trick you into paying for their annual registered agent service. Even if you hire a registered agent for your LLC, someone can serve process on your LLC by doing it via the Secretary of State. In such event, the registered agent is somewhat redundant. You will need to provide a forwarding address where the Secretary of State will forward papers to in the NY LLC Articles of Organization. This can be any address, even a PO Box. Just remember to check it often so that you don't miss papers with important deadlines. For one of my NY LLCs, I use the PO Box in the post office closest to home and check it once a week.

Thanks for sharing this. I'm in NYC and when I first started my LLC I signed up for the service and haven't renewed it. Just received an email saying that I need to renew or face penalities etc. I just have to file the paperwork to change my address from them for my business. Thanks again for sharing I'll look into this more.

Actually I didn’t. The quote I referenced in the video completely glossed over all the nuances of why a registered agent is important and is telling people they can’t do it themself. I couldn’t disagree more.

Jim I am very confused. I want to open a brick and mortar business, but do I need to find the physical location first, then start the LLC paperwork? Or can I start the paperwork, put my own address and change it later once I find the right establishment?

I honestly don’t see the use. Wouldn’t late mail that could postpone or place your LLC on hold just be even more delayed since it has to go through another persons hands? Wouldn’t I, the business owner, pay more attention and ask an attorney when needed about these, rather than have someone who at all times could just as easily not see a piece of paper?

If your holding company is an LLC or a corporation then it must have a RA.

No - they only receive official correspondence for your company. They aren’t a substitute for a mail service and you should not use your registered agent as your business address.

So many reasons to use a registered agent. USE ONE! Trust me!

@@BlvckHvt I'm in bronx NY and in NY u have to publish In a newspaper for six weeks..I was told I could file my business in Albany NY to avoid paying high cost. Or am I'm better off filing in the county I live in?

Yes - you can hire one whenever you want. But I typically recommend getting one from the beginning.

If you have an LLC you do!

The State of Texas doesn't allow you to be your own RA in an LLC.
