Yeah this is very common; then you write off the losses when the spinoff implodes.

You're missing one of the big pieces of the announcement - Asmodee will be going public. They will likely use a good chunk of the sale to pay off or refinance the debt. Everything else said is correct, and the usual adverse impacts of these moves. But the IPO is what these banks are counting on, not Asmodee's games making more money.

The Goldman's and hedge fund people will like those pieces I bet. THe bottom line is, they were valued as 3 bill when Embracer bought them just 2 years ago, so that must be the number they are looking at for a IPO

People have been packing it up for both of those games for a while. Both local play died off after AMG took over (and the lockdown snuffed it out).

As a long time Armada player, I'm thinking I will buy everything else I want and need for future play now. I think I can see Vader in the hallway...fire up those 3D printers folks, and follow the way of Battletech...I've been wanting the community to take over for some time now...

Sounds suspiciously like a leveraged buyout. Spin off the debt from the parent company to a smaller area so they are bogged down and can write off a bunch on taxes. Generally, the only people that win in these scenarios are shareholders and bankers.

I'm very sad to hear all this I have been a huge Armada fan for a long time and and have been hoping and waiting for them to pull their heads out their butts so that we can get some new Armada stuff but it doesn't look like that will ever happen

As someone who's in a company has filed chapter 11. Well, it sucks. Locations closing down every week. Seeing new CEO's move in and out temporarily for 300k a month and 20 million dollar bonuses for leaving, yeah. It can be frustrating.

Private equity is often bad for the bought companies. Money lost to financial costs eat up all the profit from the purchased companies leaving them nothing to reinvest in the company.

Extremely informative video. As someone who loves X-Wing miniatures and just got into Legion, I appreciated the speculation on how all of this may turn out. Love the channel. Thanks again.

I saw this in the 2008 housing crash. It's a was sickening and ruthlessly brilliant on the big banks part.

Read up on the Toys R Us bankruptcy. Looks like the same thing is happening here.

Remember as of June 1st any new game from Asmodee will also be required to sell at almost full MSRP for the first 90 days also under the new announced rules. The MAP will be 80% to 100% of MSRP with no expectations. I think they want to drive sales from stores to there web site since they get a bigger part of the pie that way. So see more pressure on buying direct instead of from stores which will hurt all the stores.

I really don't care. If they want to charge MSRP for new ships, that means they are printing new ships. At this point I would pay $100 for a Mc80B and $300 for a lucrehulk. Hell, I'd even pay $75 for a republic venator, even if it was the same exact sculpt with just a different paint job and new cardboard and cards. Not even joking lol. Armada veterans are ready to be milked for 'new' ships, I promise lol

It is possible that they will refinance a lot of debt. However, interest rates remaining high this will still create greater overhead, necessitating cost cutting and increased margins ie price hikes and less new models.

I think its far more likely that AMG sunsets X-Wing and Armada instead of ever releasing ships on sprues. Its pretty clear they never wanted those games in the first place and have no idea what to do with them. I can see them using these financial troubles as an excuse to discontinue them in the next couple of years.

It'll be less AMG wanting to sunset them and more Asmodee telling them to do it and focus on the 'moneymakers' At the end of the day, these companies can't just make what they want. They have to propose it to their bosses (asmodee and Disney) and get approval. Asmodee will look at the low X-Wing sales and not the still large community of players and deem it unprofitable so will cut any funding for R&D on the game. AMG will then have to announce it and take most of the blame.

the best part about armada and x-wing is that to build a new list I just need to go to the store and buy a new ship, or use the ships I already have. Its is so frustrating to build assemble and paint a sw legion list just to find out it sucks... and then have to do it all over for a new list. Having said that, I would happily buy new armada ships on sprues bc at the end of the day airbrushing one big ass gray ship is much easier than painting 40 storm troopers lmao

I'd rather they just formally kill the games, as they have basically sunset them for a while now. Card packs for X-Wing are a band aid. I play X-Wing and Armada to not have to paint stuff, I have other games for that.

The VAST MAJORITY of gamers DO NOT want to assemble and paint minis. That was one of the main selling points of x wing and armada. Those games have jumped the shark so stock up now and enjoy what is there. It is the end of the road obviously for Asmodee and most their game lines.

This is exactly what happened to Toys R Us. Asmodee's days are numbered.

Oof. This could well kill off X-Wing and Armada.

IMO, the licensing for Armada and X-Wing should not be with AMG to begin with. They've dropped the ball entirely. Let a company who will actually put effort into the product get the IP. Please ~ !!

Well, damn, I feel slightly bad, the community keeps Xwing going as I’m sure certain other communities for the other AMG Games. The community reminds me of the chess community… they pride themselves to the game. It’s been 10 years and it’s a real shame the way the company has tried to sell a snake oil instead of nurture and cultivate a ‘community’, international community for some I may add. If I were you, find the community before you buy one single thing . then with advice & direction from one of ‘our’ many loyal Xwing players, perhaps purchase a couple of ships. Mind you there may be a couple of other things to buy, but just buy a bare minimal amount to try and fly with everyone else, that’s all I’ll say as a humble epilogue. Xwing in itself is a good game dynamically speaking, the models are awesome, the product support may be lacking, but there’s enough there where people can make up their own rules as long as they’re playing by the same rules, AND the community is still running…currently 😂 Xwing is ‘simply’ complex, like chess, ie;10000 hours till mastery etc, but the future just looks bleak for AMG products atm and I don’t want to paint any other picture to a new player. Peace. 🤞🙏🏻🖖

I was interested in getting the game to play with my brother just to test the waters so to speak, I wasn't planning to blow tons of money on it. But if we end up loving it and I find myself unable to buy a millennium falcon or something in a few months because it's been discontinued then it would be a bit frustrating is all.

Asmodee is the giant in boardgaming. Owning many other companies like FFG, AMG, and Days of Wonder. Which makes lots of games including Ticket to Ride.

Coffee Stain are close to finalising Satisfactory - a very good AA early release game. The also own Dark Horse Media and Eidos. I believe they've just sold Gearbox. Sounds like an extremely badly run investment company. Asmodee are better off getting sold.

It was run well (and very consumer-friendly as well as developer-friendly) until they started development of dozens of video games with money that was promised to them in two huge multi-billion handshake agreements but fell through last year when the prospective investors saw the lockdowns-induced boom fizzle out. Also, Eidos and even Warhorse (Kingdom Come Deliverance) got absurdly transfered together with Dark Horse over to Middle Earth Enterprises and Friends by nature of being "AAA" instead of staying with the rest of Embracer Group's video game core biz at Coffee Stain and Friends (which really needs to go back to the THQ Nordic name).

Or maybe they think they are the one's that night be able to turn it around. Either way, the corporate mistakes being lumped onto the creatives is never right. @@mattberry3551 Oh, I fully agree on all those points. And FFG must have regretted it when they were getting stripped for parts under the previous owner of Asmodee. Then breathed a tentative sigh of relief when Embracer bought Asmodee. And now don't know what to think.

Does this mean X-Wing players will now have to manufacture their own expansion packs entirely from scratch, but then still have to pay premium prices for them? I'm only half-kidding.

This would explain the price hike for some legion pieces. Dark trooper were anywhere from 39-42, but now 50.

I hope they at least release make a Lukrahulk for armada and then just keep producing the armada items even if otherwise no new items

Embracer had put a lot of money into different projects that did not plan out. Saints Row, Gearbox blaw blaw. I am wondering if Asmodee could ever be bought out by Cristian P (FFG old owner)

Interestingly the Minimum advertised price thing seems to only apply to the USA as it’s against the law in a lot of other places like the U.K. Australia and EU etc.

Now, We'll have time to enjoy our lot of unplayed games...

This would be a good time to reprint the upgrade card set, print the cards and Cardboard for Rapid Reinforcements, etc.

You got your timeline wrong. All the gobbling up of smaller board game publishers and the "lean" restructuring into "neat" verticals to make it look better on paper and sell it for a profit happened for years under the venture capitalists that owned Asmodee before Embracer. The latter was very hands-off until two multi-billion financing deals with prospective investors fell through last year, which resulted in the sale/closure of multiple video game studios, the cancelation of dozens of video game projects, and the firing of hundreds of video game developers. But AFAIK the board game subsidiaries were spared the brunt of it until unfairly getting saddled with most of the debt yesterday. (Video games are of course the core biz from which Embracer Group was born as THQ Nordic.) On a positive spin, they should be able to work it off more easily, as board game development is less expensive than video game development, and both markets are still going strong, reliably moronic investor hiveminds having assumed that the extra booms caused by lockdowns would keep going notwithstanding.

They dont have to tripple their profits to solve the debts, an profitable entity like Asmodee can carry the debts forward. They can refinance them, pay em off partly with current profits, offer new shares to solve debt. etc etc Debts worth 3 times earnings isnt that much to be honest, if that is the number they are going with in the end and clearly manageable for a profitable entity like Asmodee.

I will always wonder what happened to the FFG Xwing developers in 2021… Money was made, Assmodee gains rights…Assmodee takes the hit along with all of us following the company/AMG or parent company…both? 😂 can someone say ‘shenanigans’? (I said it two years ago…)

I play a game called Blood Red Skies. I beleive it's 1/200 scale which seems simlar to X-Wing. Most of the planes are sciocast, but a few need built (plastic kits). Maybe they'll go this route for X-Wing. They could even sell beginner kits thar have models and paint.

Honestly if they came out with ships on a sprue for armada I’d get back into it just to build and paint the ships!

Even with Asmodee going into an IPO, if I were the bank having given out the loan I’d be absolutely peeved. All the loan’s cash going to an entity that is unprofitable and been slashing the studios of the developers it bought in mass and all the responsibility for it going to what is ultimately a much smaller value entity that loan under those terms should NEVER have been given to is an absolute travesty.

Sorry to say this is a bit of the sky is falling video. Banks have to be involved in the restructuring of any company, as that is whom is owed the money. The banks must believe in the business plan proposed to them as they are not likely to just write of nearly a billion dollars of owed money and interest payments. Debt can be restructured over several years and it is common place for companies to carry debt, as long as the cash and asset to debt ratio is acceptable to the banks. This does not mean that Asmodee has to triple its turnover/profitability over the next 3 years, it means they have to meet the structured repayment plan laid down, based upon the mid to long term business plan. We do not have the overall context for why this was done by Embracer Group and conclusions like this are just spreading unnecessary fear about games and IPs we all want to carry on playing.

Where can I find data to support Star Wars sales? I found the top 30 Asmodee products, but they are all board games such as Catan, Ticket to Ride, 7 Wonders, and Splendor. Wargaming is not listed at all.

Good thing for you, the licensed products FOR legion seem fresh as a daisy, ie;2021 EVERYONE was waiting for news, rules updates, for Star Wars FFG games which went to AMG, licensing ‘issues’ apparently is what we were waiting for(starviper/Guri Disney owned HaHa). Biggest news WAS legion and I would assume product line for legion will be strong for a few, ie;the Mandalorian, bad batch, etc etc…armada and Xwing kinda got put into ‘carbonite’, yay shatterpoint! 😉👍

Oh I think you forgot…Disney OWNS those licensing rights, don’t expect what you ‘know’ about Star Wars to ever be the same. Same goes for Marvel. THEY now own the rights and thus can cherry pick the ‘good’ and hide the ‘bad’ just like the Mulan Shazwan sauce recipe from McDonald’s was hid inside a big secret vault, never to see the light of day and deemed ‘bad’. Ie;Thrawn character good. ‘Heir to the Empire’ bad 😂 ‘we’re doomed…’ (if you played RPG‘s, enjoy your head canon, it’s better than Disney at the moment)

A large part of these games is the hobby and community that builds from the cool things people do with these games that require assembly. It's fine if it's not for you, but don't neglect the enjoyment others, including myself, get from it.

Putting Armada onto a sprue would not only be a massive 25-30 year step backwards, but a massive betrayal to eveything the game stood for and proved as a title within the miniatures community.

If they need more profits maybe we’ll get faster Legion releases 😃 probably not with how far ahead they work but we can hope.

While I'd prefer pre-painted ships to those on a sprue, I'd take any new content at this point. However, the expansions would HAVE to be cheaper than what they're currently rated. If ships aren't painted or pre-assembled, then prices should be reduced 25% at least, since the pre-painted ships are such a huge selling point to many who arent able to paint their ships. And if AMG won't be providing that service than they shouldnt be charging for it.

Don’t see a price drop coming in. Many miniatures are priced based on the value they bring on the table. Not on what the actual manufacturing cost is. They could also say, non prepainted miniatures give you they opportunity to make them look as you may wish and sell it higher priced than before.

looking at the writing on the wall from inflation and just basic market outlooks, this does not bode well for luxury and gaming companies. We are looking at a freeze of expensive games and turn to cheaper more profitable games Crabbok mentioned. It is what it is, but I dont expect Armada and X-Wing to continue to have expansions. That being said, the community, if strong enough will continue.

To put X-Wing or Armada on a spru FUNDAMENTALLY changes the accessibility and essentially the T&Cs of the game. It will KILL a significant portion of people that aren't part of an online or store event community, who are like me who simply enjoy playing the game at home with friends and family. X-Wing is more affordable for people that want to pick up and play, which is pretty much what X-Wing/Armada is, who don't have the money, time or skill to build and paint to play a miniatures game. If that happens, I'd be very surprised. To change a game in such a way would be a huge deal. I predict it'd kill off the game(s) fairly quickly.

So... this means what for Armada? Man I shouldn't joke about this

@@Crabbok AMG have pretty much ignored Armada since they got it, X-Wing aside from some rules updates (that killed my local tourney scene) and card packs, they've done practically nothing. So it will either stay the same, or be shut down I assume.

I think feeling like this is good for armada or x wing is being overly hopeful.

I’m going to try to be optimistic: maybe Fantasy Flight gets Armada, X wing and Legion back and we, the customers end up with a win. Anyway, Embracer is just the worst. Seems like all the news about that group is non stop negative. Ugh.

Embracer Group will try and get the money out of Asmondee before they sell it. If it really is the money maker out of what they own they will fight for financial solvency. This is a desperate move, but laying of a decent part of Asmondee staff is going to damage profits. They will probably expect the same output with less staff which could lead to delays on production line or not as well made products. 🤔 All of which is speculation at this point. Trying to curb my negatively. I have worked for corporate America for the last 16 plus years. Not impressed.

Another main takeaway: get whatever ships/units you want for the AMG games you play before they a)stop making them and they disappear or b)price hikes make adding units cost prohibitive….

If x wing and armada stuff is going to be on sprues, I'm done.

I'm not gonna start calling x-wing and armada dead but they definitely seem like they are clinging to life support and Asmodee is reaching for the plug.

As much as it would hurt to lose X-wing or Armada, Inwould enjoy AMG going away.

Embracer group is going to make them publicly traded companies so the public will be able to invest in them and hopefully this will help Asmodee with the debt they will be given.

Getting sold off.

Sprues wouldn't work. No one will pay 25 bucks for 1 ship on a sprue.

I would for Armada but not X-Wing. TBH X-Wing is dead in my state.

hard disagree right here. I think people would pay significantly more than 25 for a ship on a sprue.

The ships are small that I wonder if there multiple ships per sprue.

I’ll put together a testers 1960’s corvette model, Will and the boyz from AMG and Assmodee can go smell glue for all I care, trash devs and now we know ‘why’…

So their name stays true…Assmode.

Asmodee is already the name of a devil. No need to be infantile. And for the brief period between getting bought by Embracer and getting spun off with much of Embracer's newfound video games debt, they weren't acting in "assmode".

I do wish they would provide us unpainted ships on sprues going forward or at least unpainted. We don't need cardboard or cards or a flight stand. Just the ship that's it. Sell a card pack for a season and 1 huge cardboard base pack. Right now they need to figure out how to bring people back into x-wing. I dont think its dead but they need to swallow their pride & understand X-wing is in a bad place.
