Hello sir.. I have one doubt.. While calculating the total no. Of directors for determing directors liable to retire by rotation (2/3), whom do we exclude besides Independent director. Like as per the provisions ssd and additional director cant retire by rotation.. Do we exlude these at the very first step while calculating the total no. Of directors?? SSH PROVISION IN SEC 161 read with its Rule provides SSH may be Independent director if they satisfy 149(6) and (7).They are excluded. But law s silent apart from this provision wrt SSH. ADDITIONAL DIRECTOR is appointed by board, rotation concept applies for director appointed at GM
