Buy buy at profit ..i.e say 100 rs share is bought back at 20 rs..this could be possible if co. is in loss and some investors says ok we ready to waive off our shareholding to some extent and hence letting go off their shares at less then market value. Then what will be the journal entries

The reason why companies buy back their shares so that they can increase their EPS. So what's the point of issuing new shares? The company is decreasing its EPS.

Oh yes that can be done for arrangement of cash but complying legal provision for replacement of capital is entirely separate thing. You have to create CRR for the entire face value of the shares you are going to buyback.

To arrange cash you can issue debentures, sell investments, or any other asset etc.
